1. General Provisions
These Terms of Service govern the relationship between Guided Prompt (“we”, “us”, “the Consultancy”) and our B2B clients (“you”, “the Client”, “the Organisation”). By engaging our services, you agree to these terms, which are tailored for our “Commission vs Employ” operational model.
2. Scope of Services
Guided Prompt specialises in the design, development, and implementation of AI-enabled grant application assessment workflows using Microsoft Copilot Studio, Power Automate, and Microsoft Power Apps. All deliverables are mapped against a mutually agreed Statement of Work (SoW) prior to commencement.
3. Client Microsoft Licensing Prerequisites
Our solutions are deployed directly into your existing IT ecosystem. The Client is solely responsible for procuring and maintaining the appropriate Microsoft 365, Power Platform, and Copilot licenses required to run the deployed architecture. Guided Prompt does not resell Microsoft licenses.
4. Limitation of AI Liability and Reviewer Empowerment
Guided Prompt engineers solutions specifically for reviewer empowerment and criteria extraction.
- The AI systems we deploy are designed to generate preliminary summaries, extract evidence, and provide source citations.
- The system does not make autonomous funding decisions.
- The Client acknowledges that all final funding allocations, approvals, rejections, and strategic evaluations remain the sole legal and ethical responsibility of the Client’s human review panel, Programme Heads, and Board of Trustees. Guided Prompt accepts no liability for the disbursement of charitable funds.
5. Intellectual Property and Proprietary Rubrics
Your qualitative funding rubrics, governance documentation, and historical application data remain your exclusive intellectual property. Guided Prompt retains intellectual property rights over the custom architectural frameworks, code, and generic AI prompt engineering methodologies used to build the assessment engine, granting the Client a perpetual, internal-use license upon final project settlement.
